Partial months are generally non-refundable.
B) Annual Plans
Annual subscriptions constitute a twelve (12) month commitment unless otherwise stated in the applicable agreement.
Annual subscription fees are generally due upfront for the applicable annual term.
Annual subscriptions automatically renew for successive annual periods unless terminated in accordance with the applicable agreement.
Annual subscription fees are generally non-refundable after the annual plan begins, except where required by law or expressly provided in the applicable agreement.
A Client may not terminate an annual subscription for convenience before the end of the committed annual term.
A Client's failure to use the Services does not eliminate its payment obligations for the remainder of the committed annual term.
Unused subscription time, included minutes, usage allowances, or other unused Services are not refundable or credited unless expressly stated otherwise.
BriskCore may approve exceptions to its cancellation or refund policies in its discretion but is not required to do so.
18. Plan Changes
Clients may upgrade or downgrade plans where the applicable plans permit such changes.
Upgrades generally take effect immediately, with applicable prorated charges.
Downgrades generally take effect at the beginning of the next billing period.
The applicable Service Agreement may contain different plan-change rules.
19. Included Minutes and Overage
Included minutes and applicable usage allowances are specified in the Client's Service Agreement or Order Form.
Unused included monthly minutes expire at the end of the applicable monthly billing period and do not roll over.
Unused annual-plan minutes or usage allowances do not roll over unless expressly provided otherwise.
If a Client exceeds its included minutes, applicable overage charges are automatically billed at the rate specified in the applicable agreement.
The current standard overage rate is $0.50 per additional minute, unless otherwise specified in the applicable agreement.
Partial minutes are billed proportionally based on actual usage.
BriskCore may change the overage rate for future billing periods or renewals with appropriate notice.
There is no fixed maximum monthly usage limit under normal circumstances. BriskCore may nevertheless limit or suspend Services where reasonably necessary because of unusually high usage, fraud, abuse, security concerns, system protection, or other circumstances permitted under the applicable agreement.

The Client is responsible for completing onboarding and providing required information in a timely manner.
Client delays or failure to provide necessary information may delay implementation or launch.
BriskCore may delay launch until required information is received.
BriskCore may charge additional fees for unusual, custom, or substantially expanded setup work if the Client is informed of and agrees to the additional fees before such work is performed.
21. Billing and Payment
Clients may be billed monthly or annually according to their selected Service Plan and applicable agreement.
BriskCore may accept credit cards, debit cards, and other payment methods supported by BriskCore's selected payment processor.
Payments for BriskCore Services may be processed through third-party payment processors, including Stripe. Stripe processes payment information on BriskCore's behalf in accordance with Stripe's applicable terms, privacy practices, and security procedures.
BriskCore does not directly receive or store full payment card numbers or other complete payment-card credentials through its own systems. Payment information is submitted directly to the applicable payment processor when payment is made.
By submitting payment information, the Client authorizes the applicable payment processor to process the transaction in accordance with the selected Service Plan, Service Order, invoice, or other applicable billing arrangement.
The Client is responsible for maintaining accurate payment information and ensuring that sufficient funds or an active payment method are available for recurring charges, setup fees, usage charges, and other amounts due under the Agreement.

No late fee or interest charge currently applies unless expressly provided in the applicable agreement.
BriskCore may recover reasonable collection costs and other amounts where permitted by applicable law and the applicable agreement.

monthly subscription payments are generally non-refundable once the applicable billing period begins;
annual subscription fees are generally non-refundable after the annual plan begins;
setup and implementation fees are generally non-refundable once implementation begins;

BriskCore may suspend Services during unresolved payment disputes where permitted by the Terms, applicable agreement, and law.
BriskCore may recover chargeback-related fees and reasonable costs where legally permitted and where the Client is responsible for the chargeback or related costs.
Knowingly submitting a fraudulent or improper chargeback to avoid a legitimate payment obligation may constitute a violation of these Terms and may result in suspension or termination.
24. Security and Authorized Access
The Client is responsible for maintaining the confidentiality and security of credentials, accounts, connected services, and access information that the Client uses in connection with the Services.
The Client must promptly notify BriskCore if it becomes aware of unauthorized access to or suspected compromise of any account, credential, connected service, or other access information used in connection with the Services.
The Client may authorize employees, representatives, and other personnel to access or use Client-connected services and systems on the Client's behalf.

BriskCore will generally provide thirty (30) days' advance notice for termination without cause unless a different period is specified in the applicable agreement or a shorter period is reasonably necessary or permitted because of legal, security, regulatory, third-party, or other circumstances.
BriskCore may terminate immediately for serious or material violations, illegal activity, significant security threats, fraud, abuse, or other circumstances where immediate termination is reasonably necessary or permitted by law.
33. Termination by Client
Clients must submit termination requests in writing or through an electronic method designated by BriskCore.
Termination requests may be submitted by email to legal@briskcoresystems.com or another address designated by BriskCore, provided the request can reasonably be verified as coming from an authorized Client representative.
Monthly Clients may cancel at any time, with termination generally effective at the end of the current monthly billing period.
Annual Clients generally may not terminate an annual plan for convenience before the end of the committed annual term.
Termination does not eliminate amounts that became due or payable before termination.
Prepaid amounts are generally non-refundable following the start of the applicable service period unless otherwise required by law or expressly provided in the applicable agreement.
34. Effect of Termination
Upon termination or expiration, the Client's access to the Services will generally end, subject to any applicable transition period or other rights provided by the applicable agreement.
A) Client Data Retention
Following termination or expiration, Client Data and other information associated with the Services may remain stored by BriskCore and its applicable third-party service providers for periods determined by the systems, platforms, storage services, and retention practices used to provide the Services.
Where HighLevel or another third-party provider is used to provide the Services, applicable Client Data may be subject to that provider's then-current retention, storage, and deletion practices. Different types of information, including call recordings, transcripts, call logs, appointment records, telecommunications numbers, and registrations, may be subject to different retention or deletion periods and settings.
BriskCore does not guarantee that any particular Client Data, call recording, transcript, appointment record, or other information will remain available for a specific period unless expressly stated in the applicable agreement.
After applicable retention periods expire, or when information is otherwise deleted in accordance with applicable system settings, provider policies, BriskCore's retention practices, or applicable law, information may be permanently deleted and may no longer be recoverable.
B) Active-Service Data Retention
While a Client remains actively subscribed, Client Data, call recordings, transcripts, appointment information, and other service-related information may be retained according to the applicable systems, platforms, storage services, BriskCore's operational practices, applicable agreement, Privacy Policy, and applicable law.
BriskCore may retain information for as long as reasonably necessary to provide, maintain, secure, troubleshoot, support, administer, and comply with legal obligations relating to the Services.
C) Data Export
Clients may request an export of available Client Data before or after termination, provided the request is made before the applicable retention period expires.
Where technically available, BriskCore will generally provide a reasonable opportunity to obtain available Client Data before applicable deletion or retention periods expire, subject to technical capabilities, applicable agreements, and applicable law.
During V1, BriskCore may fulfill export requests manually or through available administrative processes.
BriskCore may provide automated export functionality through a future Client Portal or other functionality.
BriskCore may charge a reasonable fee for unusual, customized, substantially burdensome, or unusually large export requests if the Client is informed of and agrees to the fee before the additional work is performed.

Appointment information stored in third-party calendar systems remains subject to the applicable third-party provider's policies.

The Client remains responsible for amounts incurred or owed under the applicable agreement, including subscription fees, usage charges, overage charges, setup fees, and other amounts due.
F) Survival
Provisions that by their nature should survive termination will survive, including provisions concerning payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and other provisions intended to survive termination.
